Changes Proposed to California Business Entity Names

One of the many duties placed on the Secretary of State’s office is the requirement that they prevent two businesses from incorporating under the same name, a name that is too similar or a name that is misleading to the public.

Avoiding Rejections in California

The California Secretary of State has recently added pages to their web site which describe frequent causes for rejection of various corporate documents.

Stop Tax Haven Abuse Act

On March 2, 2009, Senator Carl Levin introduced SB 506, the “Stop Tax Haven Abuse Act” to the floor of the senate. The bill is supported by the Obama administration and an identical bill, HR 1265, has been submitted to the House of Representatives.

Incorporation Transparency and Law Enforcement Assistance Act

On March 11, 2009 Senator Levin introduced a second bill, SB 569, the “Incorporation Transparency and Law Enforcement Assistance Act.” This bill looks to obtain beneficial owner information for all corporations and limited liability companies (LLCs) formed in the United States.
