**IMPORTANT INFORMATION**

• An Initial List of Officers is required by the Nevada Secretary of States office.
The Initial List Filing fee is only included in our Platinum and Gold Packages. If you are taking advantage of one of our other packages, you will need to file the Initial List prior to the last day of the 1st month following the formation date of your company. The form and instructions will be provided to you with your completed filing. State fee to file this document is $125.00. (Penalties and filing fees will result if the list is not filed by the date required)

Registered Agent:
A Registered Agent acts on a company's behalf in their state of incorporation/qualification. Primary duties include providing a Registered Office address, receiving Service of Process, and acting as a local mailing contact with the Secretary of State and other regulatory agencies. The Registered agent also forwards any tax notices and state reports and general correspondence where applicable.

• A Business License Application will need to be completed and filed with the Nevada Department of Taxation. Contact information regarding this application will be included with your completed filing. Annual Cost is $100.00.

• Our office can assist you in obtaining the Employer Identification Number for your new Nevada company. Please contact us for details regarding this service. The fee for processing your application on a regular basis is $100.00 (3-7 business days**). For an additional $50.00, we can have this number for you within 24hrs**.

• Supplemental Services: Parasec is now offering attorney-prepared documents, ie: Minutes/Bylaws, Operating Agreement, “S” Election filings. If you wish further information, please contact our office for costs and time frames.

• The packages listed are based on the standard needs of the majority of our clients. These packages can be altered to fit your exact needs. Just let us know what your (or your clients) needs are.

• If you are an existing client of Parasec/Paracorp and have a Credit Application on file, we may be able to bill you for your order. Please be aware that there is a 10% surcharge on the amount of funds advanced to the state.

• Annual Filing requirements after all initial filings have been completed:
Corporation Annual List of Officers is calculated based on capitalization on a
graduated scale with a minimum annual fee of $125.00
Annual Lists for LLC / LP / LLP / BT: Annual fee $125.00
