New Annual Report Requirement for Pennsylvania Businesses

Starting this year, all businesses registered in Pennsylvania are required to comply with a newly implemented annual report filing requirement. The Pennsylvania Department of State will notify businesses of their respective filing deadlines via email (if an email address has been provided) and by postcard to ensure timely compliance.

Beginning in 2027, failure to file an annual report by the applicable deadline will result in administrative dissolution, termination, or cancellation of the business entity’s registration. To maintain good standing and avoid these consequences, businesses must ensure they submit their annual reports within the designated filing period.

Annual Report Filing Windows by Entity Type

  • Corporations (Business & Nonprofit): January 1 – June 30
  • Limited Liability Companies (LLCs): January 1 – September 30
  • All Other Entity Types (Limited Partnerships, Limited Liability Partnerships, Business Trusts, and Professional Associations): January 1 – December 31

Business owners and entity representatives are encouraged to review this new requirement and take necessary action well before their filing deadline.
