Nevada: Foreign Corporation Publication Requirements

Foreign corporations doing business in the state of Nevada are required to publish an annual statement in a Nevada newspaper (with a total weekly circulation of at least 1,000) pursuant to Nevada Revised Statute 80.190 (NRS 80.190).

The law requires that the statement appear in two issues of a daily newspaper prior to the end of March or the third month following the close of the fiscal year for those not operating on a calendar year basis. The statute does not provide for any extensions.

Foreign corporations that fail to comply with NRS 80.190 are subject to a $100 per month fine. Furthermore, foreign corporations that fail to comply are not authorized to transact business in the state.
